These Terms of Use (the “Terms”) concern all users of the website https://www.milkywire.com/pricelessplanet (the “Site”, also referred to as the “Services”), which are provided and hosted by Milkywire AB, org. ID No. 559156-8018, having its registered address at Sveavägen 49, 113 59 Stockholm, named in these terms as "Milkywire”, “we” or “us”. As used specifically in these Terms, “Mastercard” shall refer to Mastercard International Incorporated and “Conservation International” or “Charity Partner” shall refer to Conservation International Foundation. All uses of "you" refers to you as a user of the Services. By using our Services, you agree to comply with these Terms, as well as our Privacy policy and Cookie policy. If you use our Services for an organization, you accept these terms on behalf of the organization.
Milkywire provides an online giving platform (the “Platform”), made available through the Services, that allows users to make monetary donations (individually referred to as “Donation” and collectively as the “Donations”) to support the Priceless Planet Coalition a coalition managed by Mastercard of citizens, business and corporate partners committed to fight climate change. Donations to the Priceless Planet Coalition on this campaign page are made to Conservation International, who serves as the fiscal sponsor of the Priceless Planet Coalition and expends the Donations by making grants to support the projects featured through the Services. The Charity Partner restricts the use of the Donations raised through this campaign page to projects within the Priceless Planet Portfolio (“Portfolio”) and pools such Donations with other funds to support and fund the Portfolio. Conservation International is a U.S. public charity (tax identification number 52-1497470) under Section 501(c)(3) of the Internal Revenue Code.
Milkywire’s Platform provides opportunities to make efficient charitable donations online. For avoidance of doubt, we do not provide any legal, financial, tax or other professional advice. In addition, Milkywire is not a financial institution, broker, creditor, a 501(c)(3) nonprofit organization or other form of charity.
By creating an account and using the Services, you agree to the Terms, the Privacy Policy and Cookie Policy. If you do not agree to these Terms, do not create an account or use the Services. We continuously work to improve our Services, and may change or revise these Terms, the Privacy Policy or Cookie Policy from time to time. It is the responsibility of the user to read the Terms, and by continuing to use the Services, you accept any new Terms. By accepting these Terms, you also agree to comply with applicable law.
To use the Services, you must be at least 18 years old. As may be permitted by law, if you are under 18 years old, but are at least 16 years old, you may only use the Services with the approval of a parent or a guardian, in which case you must notify said parent or guardian of any change we make to these Terms.
These Terms are personal to you, and cannot be sublicensed, assigned or otherwise transferred by you to another party.
We believe in people doing great things and we also believe in you, doing great things through the use of the Services. Therefore you may not:
Harass, intimidate, defame, abuse, threaten other users, Mastercard, Conservation International, or any of the projects featured through the Services.
Post or promote content containing sexually explicit material, violence or discrimination on the basis of someone's race, sex, religion, nationality, disability, sexual orientation or age.
Distribute, license, transfer or sell any of the Services or part thereof.
Spam or solicit our users, Mastercard, Conservation International, or any of the projects featured through the Services.
Use the Services, without our written consent, for any commercial or unauthorized purpose, including communicating or facilitating any commercial advertisement.
Use content from our Services unless you obtain permission from its owner or are otherwise permitted by law.
Use or attempt to use another's account, service or system without authorization from Milkywire, or create a false identity on the Services.
Use the Services to upload, transmit, distribute, store or otherwise make available in any way: files that contain viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful.
Make unauthorized copies, modify, adapt or create any derivative works of the Services, including any source code, algorithms, methods or techniques embodied by the Services, or any content.
Reverse engineer or access the Services for competitive reasons using ideas or features similar to the Services, or copying features or other visual contents of the Services.
We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law.
We try to ensure that the information provided in connection to the Services is accurate, but sometimes there may be a delay in updating information, or it may contain typographical errors or other inaccuracies. We do not, to the extent permitted by law, accept responsibility for the accuracy or otherwise of such content.
You shall comply with all trade and economic sanctions programs relevant to where you do business, including trade and economic sanctions maintained by the Office of Foreign Assets Control (“OFAC”) and similar laws of the countries where you are located. You shall not engage in any conduct that would cause Milkywire, Mastercard or Conservation International to violate applicable sanctions programs. You shall notify Milkywire immediately if you become aware that you or any related party to you engaged in activity prohibited by applicable sanctions.
When you make a Donation through the Services, you agree to provide us information required by our payment processing partners to proceed with the transaction (“Payment Information”). You also agree to adhere to applicable terms of service of the Charity Partner’s payment processor Stripe for card payments. All information regarding payments and transactions will be handled in accordance with our Privacy Notice. By providing us with the Payment Information you grant the Charity Partner’s payment processing partners the right to bill your selected Payment Method for any Donation made and other fees associated with your use of the Services included but not limited to transaction fees and similar. Neither Milkywire nor the Charity Partner offers refunds on any Donation. As a user, you acknowledge and agree that it is your responsibility to ensure that you understand the financial, legal and tax implications before using the Services or making a Donation. If you are uncertain about the financial, legal or tax implications of making a Donation, we recommend you to consult a professional advisor before making a Donation. Any Donation made using the Services is done so at your risk.
Conservation International will be the merchant of record, and your donation (less any applicable standard card processing fees) will be paid directly to Conservation International.
Donations made through this campaign page will be pooled with other funds to support and fund the restoration portfolio under the Priceless Planet Coalition. Conservation International is a U.S. public charity (tax identification number 52-1497470) under Section 501(c)(3) of the Internal Revenue Code. Conservation International exercises discretion and control over the use of donated funds. Donations are tax deductible to the fullest extent allowed by applicable law.
Mastercard does not act as a professional fundraiser on behalf of Conservation International and/or any charity in support of the Priceless Planet Coalition.
Through the Services, we offer you the option to make a Donation on a recurring basis (“Monthly Donation”), and by choosing to participate in such a feature you acknowledge that the Monthly Donation will include recurring Donations and is renewed automatically for successive renewal periods of the same duration as the initial term, unless and until you actively opt out of the Monthly Donation, which can be done via the Services or by email (support@milkywire.com). During the full duration of the consecutive Monthly Donation periods you grant Milkywire the authorization to bill your selected payment method, including but not limited to payment cards, direct debit or similar (collectively the “Payment Method”), of the applicable donation amount on a periodic basis until you terminate the recurring donations by opting out of the Monthly Donation, and you agree to maintain up to date and accurate payment information on your account. If you decide to change the Payment Method via the Services, revise the recurring Donation amount, or terminate the Monthly Donation, it will only apply to Donations that take place after Milkywire receives notice of such changes or termination. By not terminating your Monthly Donation prior to a scheduled donation, you extend Milkywire’s continued authorization to bill your selected Payment Method for the Monthly Donation in accordance with these terms.

We respect intellectual property rights, and expect nothing less from you. Intellectual property rights include but are not limited to, all patents, inventions, patent applications, unpatented inventions, design rights, copyrights, trademarks, trade names, service names, domain name rights, as well as all forms of protection of a similar nature anywhere in the world.
We take reasonable steps to promptly remove from our Services any infringing material of which we become aware. If Milkywire becomes aware that one of its users has repeatedly infringed copyrights, we will terminate the user's access to the Site and Services immediately.
Users should notify Milkywire if they become aware of or suspect copyright infringement while using the Services.
All rights to the materials displayed through the Services are reserved by the copyright owners indicated on such materials. These Terms do not grant you the right share any material which does or may infringe trademark or other intellectual property or privacy rights of any other person without their consent. Any unauthorized use of the materials may violate copyright laws, trademark laws, the laws of privacy and publicity and other applicable laws and could result in criminal or civil penalties.
The CI logo, CI circle and line logo, and the name “Conservation International Foundation” are trade/service marks of CI may not be used without the prior written permission of CI.
The Priceless Planet Coalition mark and logo, Mastercard, Priceless, and the Circles Design are trademarks of Mastercard (collectively, the “Mastercard Trademarks”). Nothing contained on the Site or displayed through the Services shall be construed as granting, by implication, estoppel or otherwise, any license or right to use the Mastercard Trademarks, Mastercard-owned intellectual property or copyrighted material without Mastercard’s prior written permission.
We may restrict your access to the Services or terminate your access to the Site at any time. Upon termination, your right to access the Services will be revoked immediately. Any Services still ongoing shall be carried through in accordance with these Terms. Obligations arising from any breach of contract during the term of these Terms shall not be affected by termination.
Milkywire is committed to the highest possible standards of openness, honesty and accountability. Our whistleblowing function (www.milkywire.com/whistleblowing) lets you raise a concern about something that doesn’t seem right. Anything that you think might seriously affect Milkywire, our donors, or the projects on our Platform is worth reporting. Tell us about the issue and we will investigate it further. The whistleblowing function is anonymous and your information will not be shared externally.
Our liability to you will be limited as follows:
None of Milkywire, Mastercard, World Resources Institute or Conservation International shall be liable to you, whether in contract or tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between you and any of Milkywire, Mastercard, World Resources Institute or Conservation International; and
Total liability to you for all other losses arising under or in connection with any contract between you and Milkywire, Mastercard, World Resources Institute or Conservation International, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total sums donated by you in connection to the Services under the applicable contract.
You agree to indemnify, defend and hold Milkywire, Mastercard, World Resources Institute, Conservation International and their respective business partners, and their respective officers, directors, employees, agents and affiliates (the “Indemnified Parties”) harmless from and against any and all liabilities, losses, claims, costs, damages and investigations, judgments, fines, penalties, settlements, interest and expenses, including, without limitation, reasonable attorneys’ fees and expenses, related to or arising from: (i) your breach or alleged breach of these Terms; (ii) any claims, costs, injuries, losses and damages related to any authorized use of the Services; (iii) your violation or alleged violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental or quasi-governmental authorities in connection with your use of the Services or your activities in connection with the Services; (iv) your use, and misuse of the Services and your activities in connection with Services; (v) your violation or infringement of copyright or other intellectual property or other rights of third parties; (vi) any misrepresentation made by you; and (vii) Milkywire’s use of information that you submit. YOU WILL COOPERATE AS FULLY AND AS REASONABLY REQUIRED IN DEFENSE OF ANY CLAIM.
The Site and Services are owned, operated and hosted by Milkywire.
This agreement shall be governed by and will be construed in accordance with Swedish law. Any dispute, controversy or claim arising out of or in connection with this agreement, shall be settled by arbitration in accordance with the Rules for Expedited Arbitrations of the Arbitration Institute of the Stockholm Chamber of Commerce. The place of arbitration shall be in Stockholm, Sweden.
